ABOUT BASEBALL SOUTH AUSTRALIA
Baseball South Australia (BSA) is the state governing body for baseball, overseeing community competitions, performance pathways, state teams, development programs, and key facilities at West Beach. BSA works closely with clubs, volunteers, coaches, and partners to grow the game at all levels, from entry-level participation through to elite athlete development.
The organisation is in a period of strong growth, with major facility upgrades underway, expanded pathway programs, and increasing community demand. The BSA Board plays a central role in guiding this progress and supporting the long-term sustainability of baseball in South Australia.
The Director of Governance and Legal is a Board-level appointed position responsible for providing governance oversight, legal risk identification, and high-level strategic advice to ensure Baseball SA operates within appropriate legislative and regulatory frameworks.
This role supports the Board and the Chief Executive Officer by offering guidance on matters including governance compliance, constitution and by-law interpretation, contracts, policy development, disciplinary processes, facility agreements, and organisational risk management.
This is not an operational legal role and does not require the Director to represent Baseball SA in legal proceedings. The Director ensures the organisation maintains strong governance standards and, where matters require specialist legal intervention, supports the Board in engaging appropriate external legal resources.
- Provide Board-level oversight on legal, governance, and compliance matters
- Identify organisational risks and support the development and implementation of mitigation strategies
- Provide guidance on key documents including policies, agreements, contracts, and by-laws
- Support the Board in ensuring compliance with relevant legislation, the BSA Constitution, and applicable governance frameworks including Australian Sports Commission and Office of Recreation, Sport and Racing requirements
- Review and advise on by-laws, disciplinary processes, and playing conditions to ensure compliance and governance consistency
- Assist with major organisational projects that require legal or governance oversight, including facility agreements and partnership arrangements
- Support the Board in identifying when external legal advice should be sought and assist in framing the scope of that advice
- Contribute to Board discussions and decisions on long-term strategic development
All Directors of Baseball South Australia are expected to:
- Attend monthly Board meetings and actively contribute to informed, strategic decision-making
- Uphold strong governance standards consistent with the Australian Sports Commission (ASC) and the Office for Recreation, Sport and Racing (ORSR)
- Champion BSA's values and support a positive, collaborative Board culture
- Maintain independence, confidentiality, and integrity in all Board matters
- Review Board papers and prepare fully for discussion and decision-making
- Support the organisation's long-term strategic direction, community focus, and commitment to safe and inclusive sport
- Assist with Board committees or working groups where their expertise is relevant
- Provide guidance to the CEO when appropriate while respecting the distinction between governance and operations
- Represent Baseball SA professionally when engaging with stakeholders, partners, and the wider community
We are seeking someone who:
- Brings expertise in law, governance, compliance, or risk management, whether through professional practice or significant board-level experience
- Understands the role of a board director and the distinction between strategic governance and operational management
- Can review documents, identify risks, and provide clear, practical strategic guidance without defaulting to operational involvement
- Has familiarity with incorporated associations, sporting bodies, or not-for-profit governance frameworks
- Communicates effectively and can support high-quality governance discussions at board level
- Is values-driven, collaborative, and committed to strengthening community sport
- Is passionate about helping Baseball SA grow responsibly, sustainably, and in accordance with its obligations
